Verde Capital Management, Inc.
Form ADV Part 3 – Client Relationship Summary
02/06/2026

VERDE CAPITAL MANAGEMENT, INC. is an investment adviser registered with the Securities and Exchange Commission offering advisory accounts and services. This document gives you a summary of the types of services and fees we offer. Please visit www.investor.gov/CRS for free, simple tools to research firms and for educational materials about broker-dealers, investment advisers, and investing. It is important for retail investors to know the difference between the fees charged for brokerage services, and investment advisory services.

What investment services and advice can you provide me?

Our firm primarily offers the following investment advisory services to retail clients: portfolio management via a Wrap Fee or Income Based Fee Program (we review your portfolio, investment strategy, and investments); and/or financial planning (we assess your financial situation and provide advice to meet your goals). As part of our standard services, we typically monitor client accounts on a weekly basis. Our firm has discretionary management without any material limitations, except for the client’s goals and financial objectives. We do not limit the types of investments that we recommend. Our firm does not have a minimum account size. Please also see our Form ADV Part 2A (“Brochure”), specifically Items 4 & 7.

Questions to ask us: Given my financial situation, should I choose an investment advisory service? Why or why not? How will you choose investments to recommend to me? What is your relevant experience, including your licenses, education and other qualifications? What do these qualifications mean?

What fees will I pay?

Our fees vary based on the services you choose. We offer several fee programs:

  • Wrap Fee (Assets Under Management) Program – You pay a percentage of the value of the investments we manage for you. Our annual fee ranges from 1.50% to 0.60%, depending on account size, and is billed monthly in arrears based on the average daily account balance. This single “wrap” fee covers investment management, trading, and custody costs, so you generally do not pay separate transaction charges. Because our fee is based on your account size, we earn more as your assets increase, which creates an incentive to encourage you to add assets to your account.
  • Qualified Plan and 401(k) Advisory Services – Plan sponsors pay a flat fee, typically $250 – $500 per month based on the anticipated level of work (for example, onboarding a new plan or providing employee education). Fees are billed in equal monthly installments and do not include costs such as fund expenses or recordkeeper fees. We assist sponsors in coordinating plan-related compliance items but do not prepare Form 5500 filings.
  • Financial Planning Services – Clients may pay a monthly fee based on household income (about $100 – $500 per month) unless the client maintains sufficient assets under management to have this fee waived. We reassess fees annually as your circumstances change.
  • Financial Coaching Programs – Standalone coaching is offered at fixed prices: the Roadmap to Hope Session ($295 – $395), Go Program ($1,200, or $400 per month for three months), Change Program ($2,100, or $350 per month for six months), or Dream Program ($3,600, or $300 per month for 12 months ). These programs focus on cash-flow and behavioral-finance coaching.
  • Tax Preparation Services – Separate fixed-fee engagements start at $400 for individual and $1,000 for business returns, plus $150 per hour for additional work such as amendments. You receive an estimate before services begin.

You may authorize us to deduct advisory fees directly from your investment accounts or pay by invoice. Some investments—such as mutual funds or ETFs—charge their own internal expenses, which reduce returns and are in addition to our fees. You will not pay transaction fees to your custodian (Schwab and/or TradePMR). You may pay transaction fees for held away assets, like your 401(K), which are not absorbed by Verde under either fee program. You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying. See Items 4 and 5 of our Form ADV Part 2A and our Wrap Fee Brochure for more details.

Questions to ask us: Help me understand how these fees and costs might affect my investments. If I give you $10,000 to invest, how much will go to fees and costs, and how much will be invested for me?

What are your legal obligations to me when acting as my investment adviser? How else does your firm make money and what conflicts of interest do you have?

When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. For example, we recommend clients use either Schwab or TradePMR as we are on their institutional platforms and receive certain benefits from both. These benefits are outlined in Item 14 of our Brochure.

Questions to ask us: How might your conflicts of interest affect me, and how will you address them?

How do your financial professionals make money?

Primarily, we and our financial professionals benefit from the advisory services we provide to you because of the advisory fees we receive from you. This compensation may vary based on different factors, such as those listed above in this Item. Our Investment Advisors receive compensation based on a percentage of the advisory fees charged to the clients they manage. Our Service Advisors receive a base salary plus compensation based on a percentage of the advisory fees charged to the clients they work with. Please also see Item 10 of our Brochure for additional details.

Do you or your financial professionals have legal or disciplinary history?

No, we do not have any legal or disciplinary events to disclose. Visit https://www.investor.gov/ for a free, simple search tool to research us and our financial professionals.
